Terms & Conditions for ConsultESG

These Terms & Conditions ("Terms") govern your use of the consulting services provided by ConsultESG (referred to as "we," "us," or "our") focused on Environmental, Social, and Governance (ESG) matters. By engaging our services, you agree to abide by these Terms.

 

1. Consulting Services

1.1 Scope of Services:

ConsultESG provides ESG consulting services tailored to your business needs. The specific scope of services will be outlined in our agreement.

 

1.2 Client Responsibilities:

You agree to provide accurate and timely information necessary for the provision of consulting services. Any delays in providing required information may affect the project timeline.

 

2. Fees and Payments

2.1 Payment Terms:

Fees for our consulting services will be detailed in the project agreement. Payment terms, including invoicing schedules and methods, will be specified therein.

 

2.2 Late Payments:

Late payments may be subject to interest charges. Failure to settle outstanding fees may result in the suspension of services until payment is received.

 

3. Confidentiality:

3.1 Confidential Information:

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the consulting engagement.

 

3.2 Exceptions:

Confidentiality does not extend to information that is publicly available, already known to the receiving party, or required to be disclosed by law.

 

4. Intellectual Property:

4.1 Ownership:

Any intellectual property developed during the consulting engagement, unless otherwise specified, will be owned by ConsultESG

 

4.2 Client's Use:

Clients are granted a non-exclusive license to use deliverables for the purpose outlined in the project agreement. Any other use requires prior written consent.

 

5. Termination:

5.1 Termination by Either Party:

Either party may terminate the consulting engagement with written notice if the other party breaches a material provision of these Terms.

 

5.2 Outstanding Payments:

Termination does not release the client from any outstanding payment obligations.

6. Limitation of Liability:

To the extent permitted by law, ConsultESG shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our consulting services.

 

7. Governing Law:

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

 

8. Amendments:

ConsultESG reserves the right to amend these Terms. Changes will be effective upon posting on our website, and continued use of our services constitutes acceptance of the amended Terms.
